Are Enterprises Required to Update Address Information on the Business Registration Certificate from July 1, 2025 Due to Administrative Boundary Changes?

From July 1, 2025, numerous localities across the country will implement administrative boundary changes in accordance with the National Assembly’s resolutions. This raises the question: Are enterprises obligated to update the address information on their Business Registration Certificates? The following article clarifies the new regulations and provides appropriate guidance for businesses.
1. Are enterprises required to update address information on the Business Registration Certificate from July 1, 2025 due to administrative boundary changes?
On April 5, 2025, the Ministry of Finance issued Official Dispatch No. 4370/BTC-DNTN, providing detailed guidance on business registration procedures in cases of administrative boundary changes resulting from the reorganization of administrative units at various levels and the implementation of a two-tier local government model.
According to this official dispatch:
Enterprises, household businesses, cooperatives, cooperative unions, and partnerships may continue using their current Business Registration Certificates, Household Business Registration Certificates, Cooperative Registration Certificates, Partnership Registration Certificates, and Registration Certificates for branches, representative offices, or business locations issued prior to the boundary changes.
Business registration authorities are not permitted to require enterprises, household businesses, cooperatives, cooperative unions, or partnerships to register changes to address information solely due to administrative boundary adjustments.
Updating address information due to administrative changes is only required when the enterprise, household business, or cooperative voluntarily chooses to do so or when it is conducted concurrently with the registration or notification of other changes in business registration information.
Thus, updating the address on the Business Registration Certificate due to administrative boundary changes is entirely optional. Enterprises have the right to update this information if they deem it necessary or as part of other business registration procedures.

2. Content of the Business Registration Application under Current Law
A business registration application must include the following key information:
(1) Enterprise name(2) Head office address; telephone number; fax number; email address (if any)(3) Business lines(4) Charter capital; investment capital of the sole proprietorship owner(5) Types of shares, par value of each type, and total number of shares allowed for offering (for joint-stock companies)(6) Tax registration information(7) Estimated number of employees(8) Full name, signature, contact address, nationality, and legal ID of the sole proprietorship owner and general partners of a partnership(9) Full name, signature, contact address, nationality, and legal ID of the legal representative of a limited liability company or joint-stock company(10) Information on the beneficial owner of the enterprise (if any)
